Anthropic IPO: AI lab's investors include rival Google, VCs also backing OpenAI

Anthropic's office building

Anthropic’s planned initial public offering is bringing renewed attention to the complex financial relationships underpinning the artificial intelligence industry, where technology giants and venture capital firms are investing in companies that also compete with their own businesses or portfolio holdings.

In a Form S-1 filing with the Securities and Exchange Commission, Anthropic said it plans to list on the Nasdaq under ticker symbol “ANT”.

The offering will test whether public-market investors share the enthusiasm of private investors who have helped propel the AI company’s valuation to extraordinary levels.

Anthropic closed its latest funding round in May, raising $65 billion at a valuation of $965 billion.

The financing was led by Altimeter Capital, Dragoneer, Greenoaks and Sequoia Capital, nearly tripling the company’s valuation from $380 billion in February.

The valuation also put Anthropic ahead of rival OpenAI, which was valued at $852 billion in late March after completing a $122 billion funding round.

But the prospectus reveals that the AI industry’s financing model is increasingly difficult to separate from its commercial relationships.

Some of Anthropic’s largest investors are also among its biggest cloud providers, while several venture capital firms have invested in competing AI developers like OpenAI.

Anthropic’s list of backers and relationship with Amazon

Anthropic’s backers include Amazon, Alphabet’s Google, Spark Capital, Lightspeed Venture Partners, Fidelity Management & Research, Salesforce Ventures, ICONIQ Capital, Singapore’s GIC, Coatue Management, DI Capital Partners, Sequoia Capital, Altimeter Capital and Menlo Ventures.

Its individual investors include Skype co-founder Jaan Tallinn and former Google chief executive Eric Schmidt.

The relationships with Amazon and Google extend well beyond equity investments.

Anthropic has committed to spending at least $110 billion with Amazon, approximately $114.5 billion with Google and $44.9 billion with Microsoft on cloud computing over the next seven to 10 years.

Amazon and Google are also among Anthropic’s top shareholders, illustrating how investments by major technology companies can help finance AI developers while strengthening commercial relationships with them.

In April, Amazon agreed to invest up to $25 billion in Anthropic, adding to the $8 billion it had invested in the startup previously.

The expanded agreement included commitments to build out AI infrastructure.

Anthropic said it had committed to spending more than $100 billion on Amazon Web Services technologies over the next decade, including current and future generations of Amazon’s custom Trainium AI chips.

“In April 2026, we entered into an agreement with Amazon, pursuant to which we committed to spend an aggregate of at least $110.0 billion between May 2026 and April 2036, regardless of actual usage,” Anthropic said in its filing.

It also secured up to five gigawatts of capacity to train and deploy its Claude models.

Such arrangements give AI developers access to the computing resources needed to expand their models, while cloud providers gain major customers and potential financial exposure to their growth.

However, the relationships also raise questions about concentration risk and the extent to which investment commitments, infrastructure spending and commercial agreements reinforce one another.

Google is both a backer and a competitor

Google plans to invest $40 billion in Anthropic, the companies said in April.

About Google, Anthropic said, “In March 2026, we entered into an agreement with Google, which was subsequently amended between May and August 2026, and pursuant to which we committed to spend at least approximately $114.5 billion between April 2026 and July 2033, regardless of actual usage.”

Further, it said it will also procure TPU compute from Google, to be delivered between 2028 and 2031, and estimated the aggregate future payments for such additional compute to be approximately $125 billion to $150 billion.

Interestingly, although Google is a significant Anthropic backer, the startup identified it as one of only two specific competitors in its prospectus, alongside OpenAI.

“We face direct competition from companies building frontier models for third-party software developers and enterprises, including OpenAI and Google, and large, well-capitalized technology companies investing to reach the frontier,” Anthropic said.

The company also acknowledged that Amazon, Google and Microsoft offer AI services and develop competing models through their cloud platforms.

“Amazon, Google, and Microsoft each offer AI services and develop and deploy competing AI models through their respective cloud platforms,” Anthropic said.

The prospectus further notes that Anthropic depends on Microsoft, Amazon, Google and Broadcom for computing power.

It said these relationships “create dependencies and potential vulnerabilities.”

Microsoft’s Anthropic investment adds another layer

Under the section of ‘Infrastructure Service Arrangements’, Anthropic has mentioned its arrangement with Microsoft.

Microsoft announced plans to invest $5 billion in Anthropic in November 2025.

At the time, it said Anthropic would bring its Claude models to Microsoft Azure, giving software developers broader access to the technology.

Anthropic also agreed to spend $30 billion on Azure and contract for as much as one gigawatt of additional computing power.

The agreement has since been modified.

In the SEC filing, Anthropic says it was committed to spend at least $44.9 billion with Microsoft between November 2026 and May 2033.

Under the terms described in the prospectus, the deal cannot be cancelled unless Microsoft has an uncured material breach or an undelivered tranche.

Microsoft has integrated Claude into products including GitHub Copilot, its Foundry model garden, and Copilot Cowork, which is designed to handle complex productivity tasks.

At the same time, the company has promoted its own internally developed models, sometimes highlighting advantages over Anthropic’s alternatives.

Microsoft’s relationship with Anthropic is particularly complicated because it is also a major investor in OpenAI, Anthropic’s biggest rival.

Microsoft owns about 27% of OpenAI.

Nvidia also said last year it would commit up to $10 billion to Anthropic.

It also alone supplies the GPUs that power Anthropic’s AI models.

Venture capital firms are backing multiple AI leaders

The overlap extends to venture capital firms, which have traditionally sought to avoid investing in direct competitors.

Anthropic’s investors include Sequoia Capital, ICONIQ and Insight Partners, which are also investors in OpenAI.

That approach reflects a shift in how investors view the AI market.

Rather than assuming a single company will dominate, some are positioning themselves to benefit from several developers that could establish distinct businesses and capabilities.

“This [Anthropic deal] is a round where the company is so big that it’s gone from a VC investment to a stock investment,” the Financial Times reported earlier this year, citing people familiar with Sequoia’s thinking.

“[Sequoia] own a tonne of both OpenAI and xAI and are very bullish on the idea that this is not a race to be won, but that they will each have their own capabilities.”

Anthropic’s IPO will offer public investors a chance to assess that thesis.

Its valuation, cloud spending commitments and dependence on a relatively small group of infrastructure providers will be central to understanding the opportunity and the risks.

The filing underscores how AI financing has evolved beyond conventional venture capital.

Investments, cloud contracts and competitive relationships are increasingly intertwined, making it harder to evaluate the industry’s winners without examining the wider network of financial and commercial dependencies.
